Rinke Noonan is seeking an Associate Attorney to join our commercial real estate and business transactional practice.

This is an opportunity for an attorney who wants to work on sophisticated transactions, develop strong client relationships, and take meaningful responsibility for matters while working directly with experienced attorneys in a collaborative law firm environment.

Our practice represents developers, property owners, investors, businesses, lenders, and other clients in a broad range of commercial real estate and business matters. The attorney hired for this position will gain experience across a diverse mix of transactions, rather than being limited to a single transaction type, industry, or discrete phase of a matter.  The attorney will also have the opportunity to work on transactions from initial planning and negotiation through due diligence, documentation, and closing.

Position Responsibilities

The Associate Attorney will work closely with partners, clients, paralegals, and other members of the firm on a variety of commercial real estate and business transactions, including:

  • Commercial real estate acquisitions and dispositions, development, leasing, financing, and related transactions;
  • Drafting and negotiating purchase agreements, leases, easements, development-related agreements, loan documents, and other transactional documents;
  • Title and survey review, due diligence, transaction structuring, and closing matters;
  • Affordable housing and other complex real estate transactions, including transactions involving tax credits and multiple-source financing;
  • Entity formation and structuring, corporate governance, mergers and acquisitions, business purchases and sales, ownership and succession arrangements, and commercial contracts;
  • Financing transactions and related borrower and lender matters;
  • Managing transaction checklists, due diligence, closing requirements, and other aspects of transactions; and
  • Working directly with clients, opposing counsel, lenders, title companies, surveyors, accountants, brokers, governmental entities, and other professionals.

The attorney’s work will span multiple areas of the firm’s transactional practice.  As the attorney’s experience and skills develop, the attorney will take increasing responsibility for managing transactions and client matters.

Qualifications

We are particularly interested in candidates with approximately two to five years of relevant transactional experience, although we will consider candidates with other experience levels who demonstrate strong qualifications and a clear interest in commercial real estate and business law.

Candidates should have:

  • A J.D. degree from an accredited law school;
  • Admission to, or eligibility for admission to, the Minnesota State Bar;
  • Experience in commercial real estate, business transactions, mergers and acquisitions, banking or finance, or another relevant transactional practice area;
  • Strong legal analysis, drafting, and problem-solving skills;
  • Excellent written and verbal communication skills;
  • Sound judgment and strong attention to detail;
  • The ability to manage multiple transactions, priorities, and deadlines;
  • Initiative and a willingness to take ownership of assigned matters; and
  • A practical, client-service-oriented approach to legal work.

Commercial real estate experience is strongly preferred. We recognize that no candidate will have experience in every area of our practice and are looking for a capable transactional attorney with strong fundamentals, good judgment, and the ability,  desire, and initiative to continue developing a sophisticated practice.

Our practice is primarily office-based because we believe regular in-person collaboration and working closely with attorneys and other legal professionals is important to professional development, collaboration, and client service. This is a St. Cloud based position and is not intended to be a fully remote position for someone located outside the area.  Candidates should reside within a reasonable commuting distance of St. Cloud or be willing to relocate.  The firm also recognizes the value of flexibility and may offer a regular hybrid work arrangement, depending on the attorney’s experience, responsibilities and the needs of the practice.

Compensation and Benefits

Compensation Range: $105,000–$133,000 annually

Compensation will depend on experience, qualifications, demonstrated skills, and the level of responsibility appropriate for the attorney hired.
