Rinke Noonan is seeking an experienced Full-Time Transactional Paralegal to join our commercial real estate and business practice.

This position is well suited for a paralegal who enjoys sophisticated transactional work, takes ownership of matters, and can help attorneys and clients keep complex transactions organized and moving toward closing.

Our practice represents developers, property owners, investors, businesses, lenders, and other clients in a broad range of commercial real estate and business matters. The Paralegal will work closely with attorneys, clients, and other members of our transactional team and will have meaningful responsibility for coordinating and supporting matters from initial organization through closing and post-closing.

Position Responsibilities

The Transactional Paralegal will assist with a variety of commercial real estate and business matters, including:

  • Coordinating commercial real estate acquisitions and dispositions, development matters, financing transactions, and other real estate closings;
  • Assisting with title, survey, due diligence, and other property-related matters;
  • Preparing and maintaining transaction checklists, tracking deadlines and closing requirements, and coordinating transaction deliverables;
  • Preparing, organizing, and reviewing closing documents, signature packets, entity authority documents, and other transactional materials;
  • Assisting with business formations, organizational matters, corporate governance, ownership changes, and ongoing entity maintenance;
  • Preparing and coordinating resolutions, consents, certificates, organizational documents, annual filings, and other corporate records;
  • Supporting mergers and acquisitions, business purchases and sales, financing transactions, and other business matters through due diligence, document organization, and closing coordination;
  • Conducting or coordinating UCC, corporate, lien, and other public-record searches;
  • Maintaining accurate corporate records, minute books, client files, and transaction records;
  • Coordinating with clients, lenders, title companies, surveyors, accountants, governmental offices, opposing counsel, and other transaction participants;
  • Assisting attorneys with post-closing matters, recording, filings, closing binders, and follow-up items; and
  • Helping manage multiple active matters while maintaining accuracy, organization, and responsiveness.

The position requires someone who is comfortable working in a busy transactional practice where priorities may change quickly and accuracy, judgment, and follow-through are important.

Qualifications

We are particularly interested in candidates with several years of relevant transactional experience.

Candidates should have:

  • Prior experience as a paralegal or in another substantive transactional legal or professional role;
  • Strong organizational skills and exceptional attention to detail;
  • Experience managing documents, deadlines, and multiple matters simultaneously;
  • Strong written and verbal communication skills;
  • Excellent proofreading and document-preparation skills;
  • Sound judgment, professionalism, and discretion;
  • Initiative and a willingness to take ownership of assigned matters;
  • The ability to work independently while also functioning effectively as part of a team;
  • Strong client-service skills; and
  • Proficiency with Microsoft Word, Outlook, and other common office and legal technology.

Experience in commercial real estate, corporate or business law, mergers and acquisitions, commercial lending, title work, or another transactional practice area is strongly preferred.

The person hired for this position will work directly with experienced attorneys and other paralegals on sophisticated commercial real estate and business matters. Our practice is primarily office-based because close collaboration among attorneys, paralegals, and legal assistants is important to the work we do. This is also a St. Cloud-based position and is not intended to be a fully remote position for someone working outside the area.  Candidates should be within a reasonable commuting distance from St. Cloud, Minnesota or be willing to relocate.  The firm values flexibility and may offer a regular hybrid work arrangement depending on the individual’s experience, responsibilities of the position, and needs of the practice.

Compensation and Benefits

Compensation: Competitive and commensurate with experience

Pay Range: $23.00–$28.00 per hour

Compensation will depend on experience, qualifications, demonstrated skills, and the level of responsibility appropriate for the person hired.
